Consideration/ Compensation. In exchange for the full, prompt, and satisfactory performance of all Services to be rendered to Client (as determined by the Client), Client shall provide Consultant, full and complete compensation. Specific compensation, terms and forms of monetary payment will be listed in in a written agreement between Client and Allison Clinical Consulting.
Nondisclosure. Allison Clinical Consulting acknowledges that the Confidential Information listed in the written contract between the Client and Allison Clinical Consulting is the Client’s sole, exclusive and extremely valuable property. Allison Clinical Consulting agrees to segregate all Confidential Information from information of other companies and agrees not to reproduce any Confidential Information without Client’s prior written consent.
Allison Clinical Consulting shall not disclose or otherwise make available to Client in any manner any confidential and proprietary information received by Allison Clinical Consulting from third parties. Allison Clinical Consulting warrants that its performance of all the terms of written agreements does not and will not breach any agreement entered into by any other party.
Client Copyright Notice. Client may also affix its own copyright notice and all copies thereof naming Client as the copyright holder of its contributions.
Allison Clinical Consulting Intellectual Property. Allison Clinical Consulting personally may hold interest in Intellectual Property that will be described and listed in detail in an attachment to Written agreements with the Client.
Professional Insurance & Licensing Requirements. Allison Clinical Consulting warrants that it will obtain and keep in full force and effect at all times hereunder workers’ compensation, general liability and errors and omissions or professional liability insurance covering all of its Services.
Allison Clinical Consulting also warrants and represents that it has properly classified all of its work and will maintain all required licenses and certifications.
All written agreements between Clients and Allison Clinical Consulting shall be governed by the laws of Florida and in accordance with 2018 Florida Statutes > Title XXXII > CHAPTER 464 NURSING, PART I NURSE PRACTICE ACT.

The following terms and conditions apply to Allison Clinical Consulting Services, in addition to the General Terms and Conditions:
Definitions
“Client” means listed person(s), external business(es) entering into written agreement contract with Allison Clinical Consulting.
“Services” means facilitation, consulting or other services provided by Allison Clinical Consulting to clients that have signed Agreement contracts with Allison Clinical Consulting.
“Service Packages” means multiple services applicable and custom to each client listed in written agreement contract. All service offerings are listed on Allison Clinical Consulting’s Services page.
“Service Materials” means materials produced, facilitated materials and other course materials in electronic format, print or other tangible media created within the scope of prior written contracts between Allison Clinical Consulting and the Client.
“Collaboration Phase” means upon signed written agreement between Allison Clinical Consulting and Client the creation of this phase will begin, including but not limited to: Client account set-up, creating and compiling assessment information, providing or receiving feedback and establishing consulting relationship as provided by Client, Creation of e-mails, other forms of written notice and reminder notification content, supplying assessments to Client as requested, compiling standard reports and sending them to the applicable individuals, selecting and adding competencies, capabilities or items, as defined by Client entered into written agreement with Allison Clinical Consulting.
Performance of Services: The manner in which the Services are to be performed and the specific hours to be worked by the Consultant shall be determined by the Consultant. The Client will rely on the Consultant to work as many hours as may be reasonably necessary to fulfill their obligations under the written agreement.
The Consultant has a background in Healthcare Practice Management and is willing to provide services to the Client based on this background.
The Consultant shall perform the Services as an independent contractor. The Consultant is a professional who will use their own business methods, professional insurance, Professional licensing and additional means to perform the Services.
